1. About these terms

1.1 What these terms cover. These are the terms and conditions on which we supply products to you, whether these are standard stock items or bespoke fabrications. They apply to both online orders (via our website) and offline orders (dealing directly with our sales team).

1.2 Why you should read them: Please read these terms carefully before submitting your order. They explain who we are, how we provide products, how contracts may be changed or ended, applicable charges, and your rights in the event of a dispute. You are required to confirm you have read these terms before placing an order on our website. For offline orders, you are sent a copy of these terms and conditions and your acceptable of your order is taken as acceptance of these terms, unless stated otherwise.

1.3 Business vs. Consumer: Some sections apply different depending on your status. You are a Consumer/ B2C customer if you are an individual buying products wholly or mainly for personal use. You are a Trade/ B2B customer if you are purchasing for use in your trade, business or profession. We reserve the right to make the determination between the two.

2. The contract

2.1 Formation: A contract exists only once we issue a written Order Acknowledgement or Production Commencement email. An automated web receipt does not constitute contract acceptance.

2.2 Technical Accuracy: You are responsible for ensuring all specifications, measurements and drawings provided are accurate. We are not obliged to resolve discrepancies between your drawings and our Order Acknowledgement.

2.3 Illustrations and images: Samples, catalogues and website images are for illustrative purposes only. We cannot guarantee an exact colour match between different production batches or screen displays.

3. Price and payment

3.1 VAT: We provide a toggle to display prices inclusive and exclusive of VAT. We do not take responsibility for your misunderstanding of displayed prices.

3.2 Pricing errors: If we discover a pricing error, we reserve the right to cancel the order and issue a full refund, or request additional payment, rather than fulfil the order at the incorrect price.

3.3 Payment terms: Payment is due at the time of order unless a credit account is held. Late payments accrue interest under the Late Payment of Commercial Debts (Interest) Act.

3.4 Klarna: We offer “Pay in 3” via Klarna Bank AB. These payments are subject to Klarna’s specific user terms and privacy statement.

4. Bespoke fabrication & Custom Goods

4.1 Definition: “Bespoke Goods” include but are not limited to roofing sheets cut to length, flashings, guttering and items manufactured to your specific RAL colour or profile. You can confirm if your product is bespoke   by calling us on 01278 557 002 or emailing info@colourcladprofiles.com.

4.2 Non-refundable status: Under the Consumer Contracts Regulations 2013, bespoke items are exempt from the standard 14-day right to cancel.

4.3 Production cut-off: As it pertains to bespoke orders, once production has commenced (typically within 24-48 hours), bespoke orders cannot be cancelled, amended or refunded.

5. Delivery & Site Access

5.1 Delivery times: All delivery dates are estimates. We are not reliable for any costs related to late delivery, including but not limited to crane hire or site labour costs.

5.2 Off-loading: The buyer must provide necessary labour and mechanical equipment (e.g. a forklift) to unload the vehicle. If a delivery fails due to the absence of off-loading support from the buyer, a redelivery charge will apply.

5.3 Access: You must notify us of any site access restriction, including but not limited to narrow lanes and weight limits. If a delivery fails due to restricted access, a redelivery charge will apply.

5.4 Risk: Risk in goods passes to the Buyer immediately upon delivery.

6. Inspection, Damage & Warranty

6.1 Visible Damage: You must inspect the goods upon delivery. Visible damage or shortages must be reported to service@colourcladprofiles.com within 24 hours.

6.2 Latent Defects: Defects not apparent on inspection must be reported in writing within 30 days of delivery.

6.3 Store Exclusions: We are not liable for damage caused by incorrect storage (e.g. allowing moisture to sit between stacked sheets).

7. Returns & Cancellations

7.1 Standard Items: B2C consumers may return non-bespoke stock items within 14 days of delivery, at their own cost. Items must be original, resalable condition. This does not apply to any bespoke, cut-to-length or custom-folded products.

7.2 Trade Restocking Fee: Returns of stock items by Trade Customers (B2B) are subject to a 15% restocking free at our discretion.

7.3 Fees: A 10% administration will be applied to:

  • Cancellation of any order by a Business Customer.
  • Cancellations of bespoke orders by any customer, provided fabrication has not yet commenced.
  • Returns accepted from Consumers at our discretion, after the 14-day statutory period has expired.

8. Classification of Trade (B2B) Status

8.1 Determination: We reserve the right to classify a transaction as B2B based on:

  • Use of a registered Trade Account or trade-specific discounts.
  • Delivery to construction sites, commercial units or industrial addresses.
  • Payment via corporate/business credit or debit cards.
  • Requests for VAT invoices featuring a registered company name.

9. Specifications, Tolerances and IP

9.1 Manufacturing Tolerances: Goods are supplied with a +/- 3% tolerance in quantity and weight.

9.2 Intellectual Property: We own the IP rights to all CAD designs, drawings and specifications produced by Colour Clad Profiles Ltd. These may not be shared with third-party fabricators without our consent.

9.3 Retention of Title: Property in the goods remains with the Seller until all outstanding invoices are paid in full.

10. Force Majeure & Liability

10.1 Beyond Control: We are not liable for delays caused by Acts of God, raw material shortages (including steel volatility), plant breakdowns or inclement weather.

10.2 Limitation of Liability: Our total liability is limited to the price of the goods. We are not liable for loss of profit or any indirect or consequential loss.

11. Governing Law

These terms are governed by English Law and the parties submit to the exclusive jurisdiction of the English Courts.
